1001474181 Ontario Inc. (dba Tenet) (“Tenet”) and its affiliates (collectively, “we”, “our” or “us”) recognize the importance of privacy. The purpose of this privacy statement (“Privacy Statement”) is to inform you about our privacy practices, including how we collect, use and disclose your Personal Information. Tenet operates a platform that helps clients generate marketing content using user-provided inputs such as briefs, prompts, URLs, and audio.

This Privacy Statement applies to all of our operations in Canada or operations in connection with Canada, unless we have provided you with a separate privacy statement for a particular product, service or activity.

We may make changes to this Privacy Statement from time to time, which will become immediately effective when published in a revised Privacy Statement posted on our website unless otherwise noted. We may also communicate the changes through our services or by other means.

  1. Meaning of Personal Information

"Personal Information" means information about an identifiable individual as described under Canadian privacy laws, which may include, but is not limited to, your name, e-mail address and telephone number. Personal Information does not include any business contact information that is solely used to communicate with you in relation to your employment, business or profession, such as your name, position name or title, work address, work telephone number, or work e-mail address. Personal Information also does not include information that has been anonymized or aggregated in such a way that there is no serious possibility it can be used to identify an individual, whether on its own or in combination with other information.

  1. Your Consent to Collection, Use and Disclosure

We collect, use and disclose your Personal Information with your consent or as permitted or required by Canadian privacy laws. How we obtain your consent may be express or implied and will depend on the circumstances, as well as the sensitivity of the information collected. If you choose to provide Personal Information to us, you are deemed to have consented to the collection, use and disclosure of that Personal Information as outlined in this Privacy Statement.

If you wish to withdraw your consent to our collection, use or disclosure of your Personal Information, please contact us using the contact information in the “How to Contact Us” section below. In some cases, withdrawal of your consent may mean that we will no longer be able to provide certain products or services.

  1. Personal Information We Collect 

We collect Personal Information in the following ways: (a) directly from you, including through our account registration, in-product, and payment forms; (b) automatically from your device or browser, including through server logs, session cookies, error tracking, and local browser storage; and (c) indirectly from third parties, including our payment processor, authentication provider, and any optional third-party integrations you choose to connect. Further details about the types of Personal Information collected through each of these methods are set out below.

Products and Services. For individuals located in Canada, we may collect information from you or from your use of our products or services.

  • We collect Personal Information you provide to us in connection with your account and use of the Tenet platform, such as your name, email address, workspace or organization name, and other account and contact information. Where you choose to enable two-factor authentication, we may also collect your phone number for that purpose. Where you choose to upload a profile photo, we may also collect that image.

  • We may collect usage and operational data associated with your use of the Tenet platform (for example, activity within the service, feature usage, device type, IP address, timestamps of requests, and technical logs) to help operate, maintain, protect, and improve the service.

  • We may create aggregated or de-identified data from Personal Information and other data we collect, which we use for analytics and to improve our products and services. We may store and use such data separately from the Personal Information referred to above.

  • We may collect authentication information associated with your account, including session tokens. Hashed passwords are held directly by our authentication provider and are not accessed by Tenet.

  • We may collect billing and payment-related information (including billing name, email, address, a customer account identifier with our payment processor, subscription tier and status, limited card details such as the last 4 digits and payment card provider, and billing country). We do not store full payment card or CVV numbers.

  • We may collect user-generated content that you submit to the Tenet platform (for example, marketing content, briefs, brand voices, prompts, URLs, and text or audio you provide), which may incidentally include Personal Information about your customers or company. Where you provide Personal Information about third parties (for example, customer data or prospect names) for content generation, Tenet processes that information as a service provider/processor on your behalf, and you are responsible for ensuring you have a lawful basis to provide such information to us.

  • If you use voice features, we may collect audio recordings such as voice samples used for brand-voice training.

  • We may collect communications you send to us including support requests sent via email or other available support channels.

Website. For individuals located in Canada who visit our website located at [INSERT: Tenet website URL] or any of our related websites (collectively, “our website”), we may collect information from you or from your activities on the site.

  • We may collect certain technical and device information about your use of our website, which may include your internet protocol address (“IP address”), information about your device, browser and operating system, the date and time of your visit, as well as other information about your usage of our website, including a history of the pages you view.

  • We use cookies and similar technologies that are necessary to operate our website and services. These include essential cookies (which cannot be disabled and are required for the service to function), such as an authentication session cookie that keeps you signed in across pages and a user-interface state cookie that remembers settings such as whether the sidebar is collapsed. We also use functional storage in your browser’s local storage (not transmitted off-device) to remember your theme preference (light/dark) and your one-time acknowledgement of in-product warnings. We do not use analytics cookies or product-analytics trackers, and we do not use marketing or advertising cookies, trackers, pixels, clickstream tracking, or session replay. We use error monitoring to help diagnose issues; when an error is captured, the error monitoring provider may receive information such as the error/stack trace, the URL where the error occurred, browser user-agent, and IP address.

  • If you enter information in the “Contact Us” section, we collect your name, email address, company you represent and details of your inquiry to enable us to respond to an inquiry made by you on behalf of your company.

  1. How We Use Your Personal Information

We may use your Personal Information for the following purposes:

  • to provide and operate the Tenet platform and related services, including processing and responding to your inputs and requests;

  • to authenticate users, protect accounts, and maintain the security and integrity of our services;

  • to process subscription payments and administer billing and accounting;

  • to communicate with you about your account and our services, including billing, security, and product or service updates;

  • to provide customer support and respond to inquiries and requests;

  • to monitor reliability, diagnose errors, and improve the quality and performance of our services;

  • to detect, prevent, and address fraud, abuse, and other harmful activity; and

  • to comply with applicable legal, accounting, tax, and regulatory obligations and to enforce applicable terms.

We do not sell Personal Information and we do not use Personal Information for behavioural advertising.

User-generated content you submit to the Tenet platform (which may include Personal Information about you or your customers) is not used to train third-party AI models, and Tenet has taken commercially reasonable steps to contractually prohibit third-party service providers from training their models on customer inputs. Inputs and outputs are not retained by those providers beyond the operational windows required to deliver the response (typically up to 30 days for abuse monitoring).

We may also use your Personal Information for purposes not listed above for which we have obtained your consent, and for such other purposes as may be permitted or required by applicable Canadian privacy laws.

  1. How We Share Your Personal Information

We rely on third-party service providers to perform services on our behalf and to support our operations, such as hosting and cloud infrastructure providers (including database and file storage), an authentication provider, a payment processor, and an error-monitoring provider. We may also use AI model providers to help deliver features of the Tenet platform. If you choose to connect third-party integrations, we may share information that you provide as needed to enable those integrations. We may also use an SEO data provider to look up keyword and search-analytics data; in that case, we may share URLs and search keywords for lookup purposes, but not end-user Personal Information. 

If we provide information to service providers, we require that the service providers keep your Personal Information secure, and only handle it for limited purposes. We do not authorize the service providers to disclose your Personal Information to unauthorized parties or to use your Personal Information for their direct marketing purposes. Some service providers may hold security or privacy certifications e.g., SOC 2 / ISO 27001 / GDPR compliance.

Additionally, we may use and disclose your information when we believe such use or disclosure is permitted, necessary or appropriate: (a) under applicable law, including laws outside your country of residence; (b) to comply with legal process; (c) to respond to requests from public and government authorities, including public and government authorities outside your country of residence; (d) to enforce the terms of the agreements for our products and services; (e) to protect our rights, operations or property; (f) to allow us to pursue available remedies or limit the damages that we may sustain.

If we otherwise intend to disclose your Personal Information to a third party, we will identify that third party and the purpose for the disclosure, and obtain your consent.

  1. Opting Out of Communications

If you no longer want to receive marketing-related emails from us, you may opt-out of receiving emails by clicking the “unsubscribe” link at the bottom of any email you receive from us. You may also opt-out by contacting us directly using the contact information in the “How to Contact Us” section below.

We will endeavour to respond to your opt-out request promptly, but we ask that you please allow us a reasonable time to process your request. Please note that if you opt-out from receiving marketing-related emails, we may still need to send you communications about your use of our products or services, or other matters.

  1. Retention of Personal Information

We retain Personal Information only as long as necessary to fulfill the purposes for which it was collected and as permitted or required by Canadian privacy laws. Our typical retention practices are as follows: 

  • account information is retained for the life of the account and up to 90 days after account closure;

  • user-generated content is retained for the life of the account and, if deleted, is typically deleted within 90 days; 

    • "User-generated content" means the content and materials you create, upload, or generate through the Service, including but not limited to: 

      • generated articles, posts, and other written content; 

      • content strategies, calendars, and SEO briefs; 

      • keyword research and SEO analysis; 

      • brand and voice profiles ("brand kit"); 

      • strategic narratives and sales materials; 

      • AI assistant conversations, messages, and related memory; 

      • and any marketing campaign, attribution, or CRM/contact data you connect or import.

  • billing and tax records are retained for 7 years; 

  • server access logs are retained for up to 30 days; 

  • error monitoring data is retained for up to 90 days; and 

  • backups, e.g., account information and user-generated content, are overwritten within [30] days, after which deleted data is no longer recoverable from them.

You may request deletion of your Personal Information by contacting us at legal@yourtenet.com. Subject to legal requirements and permitted exceptions, we will delete or de-identify Personal Information when it is no longer needed. Deletion and disposal may include hard deletion from databases, deletion from object storage, expiration/overwrite of backups, and de-identification for analytics.

  1. International Transfer and Storage of Information

Your Personal Information may be stored and processed in Canada or in the United States, including at the facilities of our third-party cloud service providers located in the United States. Other jurisdictions may have different data protection rules than Canada. While your Personal Information is outside of Canada, it is subject to the laws of the country in which it is located, and those laws may require disclosure of your Personal Information to authorities in that country. Where your Personal Information is transferred to and processed in a jurisdiction outside Canada, we will use appropriate transfer mechanisms where required.

  1. Information Security

We have implemented physical, organizational, contractual and technological security measures designed to protect Personal Information and other information from loss or theft, unauthorized access, disclosure, copying, use or modification. These measures include encryption in transit (TLS 1.2+), encryption at rest provided by our cloud service providers, access controls and least-privilege practices, and administrative controls around code changes and deployments (such as code review and controlled release processes). We take steps to ensure that access to Personal Information is limited to personnel with a business need-to-know.

Despite the measures outlined above, no method of information transmission or information storage is 100% secure or error-free, so we unfortunately cannot guarantee absolute security. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any information that you provided to us has been compromised), please contact us immediately using the contact information in the “How to Contact Us” section below.

  1. Accessing and Updating Your Personal Information

We expect you, from time to time, to supply us with updates to your Personal Information, when required. We will not routinely update your Personal Information, unless such a process is necessary.

You may make a written request to review any Personal Information about you that we have collected, used or disclosed, and we will provide you with any such Personal Information to the extent required by applicable laws. You may also challenge the accuracy or completeness of your Personal Information in our records. If you successfully demonstrate that your Personal Information in our records is inaccurate or incomplete, we will amend the Personal Information as required. We will respond to privacy-related requests within 30 days.

We may require that you provide sufficient identification to fulfill your request to access or correct your Personal Information. Any such identifying information will be used only for this purpose.

Our services are intended for business users and are not directed to children. We do not knowingly collect Personal Information from children. 

At all times it is your responsibility to ensure that you have the necessary authority, consent, and legal basis to provide the Personal Information that you disclose to us. We may at any time remove, delete, or otherwise dispose of Personal Information that we believe contravenes any privacy legislation, regulation, or government order in any jurisdiction, but we are not responsible for monitoring the Personal Information you provide for compliance.

This Privacy Statement does not extend to any websites or products or services provided by third parties. We do not assume responsibility for the privacy practices of such third parties, and we encourage you to review all third party privacy policies prior to using third party websites or products or services.
